VoxCare Terms of Service
This page is a draft template, not a signed contract. It's a starting point for your attorney to review and adapt into a real Master Services Agreement and Business Associate Agreement before any client relies on it.
1. Acceptance of Terms
These Terms of Service ("Terms") govern a healthcare provider organization's ("Client," "you") use of VoxCare, the patient-balance recovery service operated by Amiovox.ai. By engaging VoxCare — through a signed order form, pilot agreement, or by using the service — Client agrees to these Terms.
2. Description of Service
VoxCare places outreach to patients with small outstanding account balances, using a voice-first AI cascade designed to sound like a billing office rather than a collection agency, with the goal of resolving balances directly with the patient (payment or a payment plan) and reporting outcomes back to Client. VoxCare is not a collection agency, does not report to credit bureaus, and does not take legal action against patients.
3. Eligibility
VoxCare is offered to hospitals, health systems, and other licensed healthcare provider organizations with small patient balances they want recovered without escalating to collections. Client represents that it has the authority to engage Amiovox.ai and to provide the patient account information necessary to deliver the service.
4. Client Responsibilities
- Provide accurate, current patient account and balance data needed to run the outreach cascade;
- Ensure Client's own notice of privacy practices and patient consents permit the outreach described in this service;
- Promptly flag any account that should be excluded from outreach (e.g., disputed balances, bankruptcy, deceased patient);
- Designate a point of contact for reviewing outcomes and escalations.
5. Protected Health Information & HIPAA
Delivering VoxCare requires Amiovox.ai to access patient information that may constitute Protected Health Information ("PHI"). Before any PHI is exchanged, Client and Amiovox.ai will execute a Business Associate Agreement ("BAA") consistent with HIPAA, which governs the permitted uses, safeguards, and breach-notification obligations for that PHI and controls in the event of any conflict with these Terms. 6. Fees & Billing
Fees for VoxCare are set out in Client's order form or pilot agreement, not in these general Terms. Unless otherwise agreed in writing, fees are billed monthly in arrears based on the pricing structure Client agreed to.
7. Confidentiality
Each party will protect the other's confidential information (including patient data, pricing, and non-public business information) using at least the same care it uses for its own confidential information, and will not disclose it except as needed to perform under these Terms or as required by law.
8. Compliance with Law
Amiovox.ai will operate VoxCare in a manner designed to comply with applicable healthcare billing and collections communication laws (including, where applicable, the Fair Debt Collection Practices Act to the extent it applies, and the Telephone Consumer Protection Act for outreach consent). Client remains responsible for the accuracy and lawfulness of the account data it provides.
9. Term & Termination
These Terms remain in effect for the duration of Client's order form or pilot agreement. Either party may terminate for the other's uncured material breach after written notice. Upon termination, Amiovox.ai will cease outreach on Client's accounts and handle any retained PHI per the BAA.
10. Disclaimer of Warranties
VoxCare is provided "as is." Except as expressly stated in an order form or BAA, Amiovox.ai disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose. Amiovox.ai does not guarantee any specific recovery rate or outcome.
11. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, or consequential damages, and each party's total liability under these Terms will be limited as set out in the applicable order form.
12. Governing Law
These Terms are governed by the laws of the state specified in Client's order form, without regard to conflict-of-laws principles.
13. Changes to These Terms
We may update these Terms from time to time; material changes affecting an active Client will be communicated directly, in addition to updating the date on this page.
