CX Consulting Engagement Terms

1. Acceptance of Terms

These Engagement Terms govern an organization's ("Client," "you") use of Amiovox.ai's CX Consulting advisory services. By engaging CX Consulting — through a signed statement of work, or by using the Free Curated Shortlist or Free Advisor-Led Sourcing services — Client agrees to these Terms.

2. Description of Services

CX Consulting provides practitioner-led advice on contact-center and customer-experience vendor selection, implementation, enterprise engagements, and related CX strategy, delivered by advisors with hands-on contact-center operating experience.

3. Engagement Models

• Free Curated Shortlist — Client receives a shortlist of recommended vendors based on stated requirements, at no cost.
• Free Advisor-Led Sourcing — an advisor works with Client through vendor selection at no direct cost to Client (compensated instead through the vendor relationship, as disclosed in Section 6).
• Paid Dedicated Advisory — a scoped, paid engagement covering implementation support or ongoing advisory work, defined in a separate statement of work.

4. Client Responsibilities

Client agrees to provide accurate information about its requirements, timeline, and current environment, and to make relevant stakeholders reasonably available so advisors can do the work these Terms describe.

5. Fees & Payment

The Free Curated Shortlist and Free Advisor-Led Sourcing models are provided at no direct cost to Client, as described in Section 6. Fees for Paid Dedicated Advisory engagements are set out in a separate statement of work and are due on the schedule stated there.

6. Independent Advice & Vendor Compensation Disclosure

CX Consulting aims to recommend the vendor that best fits Client's needs. For the free engagement models, Amiovox.ai may receive referral compensation from the vendor Client ultimately selects; this does not change the fee Client pays that vendor. Amiovox.ai does not guarantee any particular outcome, vendor performance, or that a recommended vendor is the only suitable option.

7. Confidentiality

Each party will protect the other's confidential information (including Client's internal requirements, systems, and business information) with reasonable care, and will not disclose it except as needed to perform the engagement or as required by law.

8. Intellectual Property

Deliverables prepared specifically for Client under a paid statement of work belong to Client upon full payment, except for Amiovox.ai's pre-existing methodologies, templates, and know-how, which Amiovox.ai retains and may reuse for other engagements.

9. Term & Termination

A free engagement may be ended by either party at any time. A paid engagement's term and termination provisions are set out in its statement of work; absent other terms, either party may terminate for the other's uncured material breach after written notice.

10. Disclaimer of Warranties

CX Consulting advice is provided "as is," based on information available at the time. Amiovox.ai disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose, except as expressly stated in a signed statement of work.

11. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, or consequential damages, and Amiovox.ai's total liability under these Terms will not exceed the fees Client paid for the specific engagement giving rise to the claim (or, for free engagements, will be limited to direct damages only).

12. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles, unless a Client's statement of work specifies otherwise.

13. Changes to These Terms

We may update these Terms from time to time; material changes affecting an active engagement will be communicated directly, in addition to updating the date on this page.
